LockPad Creator Launch Agreement

This Creator Launch Agreement ("Agreement") is between you (the "Creator") and [LockPad Entity Name], a [State] [entity type], [Address] ("LockPad," "we," "us"). You accept it at checkout, before you pay the Platform Launch Fee, by checking the acceptance box and/or signing the acceptance message with your wallet. It supplements the LockPad Terms of Service ("Terms"), which are incorporated by reference, including the arbitration agreement and class action waiver in Section 22 of the Terms. Capitalized terms not defined here have the meaning given in the Terms. If this Agreement conflicts with the Terms on a matter specific to your launch, this Agreement controls.

0. Roles
0.1 LockPad is the deployer of record. LockPad deploys every coin launched through LockPad: its launcher wallet submits and signs the deployment transaction, and LockPad is the coin's deployer of record, its "dev." As deployer, LockPad holds zero (0) tokens of your coin and keeps no mint, freeze, metadata, liquidity or fee-configuration authority, all of which are revoked or permanently locked in the launch transaction.
0.2 You are the Creator, not the deployer. You submit the idea for the coin, meaning the name, ticker, image (art), description and links (the "Coin Content"), and in return you earn the Creator fee share (on a regular coin, 75% of the distributable trading fees, Section 3; on Solana that is about 0.9% of every trade, because Meteora keeps 20% of the 1.5% trading fee first, and on EVM chains it is 1.125%; on a reward coin, 25%, Section 3.6: about 0.3% on Solana and 0.375% on EVM chains) at your Payout Address. You are not the deployer or developer of the coin and you have no on-chain authority over it. You may describe yourself as the coin's creator, but you must not claim to be its deployer or developer or to control the coin, its supply, its liquidity or its fees.
0.3 Payout Address. The "Payout Address" is the address on your coin's chain (Solana, BNB Chain, Ethereum, Base or Robinhood Chain) that you enter at checkout to receive the Creator fee share (Section 3.3).
0.4 Your content stays your responsibility. LockPad deploying the coin does not make LockPad the author of the Coin Content or transfer your responsibility for it to LockPad (Sections 4, 5 and 8). [LAWYER: see review notes §A.]
1. The launch you are buying
1.1 Service. In exchange for the Platform Launch Fee, LockPad, as deployer, will have its launcher wallet submit a single launch transaction on the chain you selected that deploys your coin with the Coin Content you entered and the fixed LockPad configuration, which: (a) revokes mint authority and freeze authority (or the chain's equivalent); (b) fixes the coin's name and ticker permanently and writes a metadata link that can never be changed (it points to the coin's info on LockPad, which the launching wallet can edit as described in Section 1.1A); (c) permanently locks the launch liquidity through Meteora (Solana) lock mechanisms or LockPad's Uniswap v4 hook (EVM chains: Base, Ethereum, BNB Chain and Robinhood Chain); (d) sets the fee split in Section 3; and (e) applies the temporary anti-sniper and maximum-wallet protections shown at checkout.
1.1A Coin info edits. The coin's name and ticker can never be changed. The description, logo, banner and links (the "coin info") can be edited after launch only by the wallet that launched the coin, by signing the edit through LockPad. Each version is listed publicly in the coin's edit history and pinned to IPFS, and the Acceptable Use Policy and LockPad's moderation rules apply to every version (LockPad may hide links or coin info that breaks them). Editing coin info never touches the token, its supply, its liquidity or its fees.
1.2 No allocation, no first buy. You will receive no tokens of your coin from the launch, no first buy, no reserved supply, no vesting and no allocation of any kind. LockPad's launcher wallet will also hold zero (0) tokens after the launch. If you choose to buy your coin, you buy it on the open market like anyone else, after it is publicly tradable, subject to Section 4.
1.3 Payment. You pay the Platform Launch Fee for your chain, which is the launch cost + US$2 (the live "Network / launch cost" for your launch, with a safety buffer, plus a flat US$2 LockPad fee, shown as two lines before you pay), converted at checkout into the chain's native coin at a live quote (Pyth Network price feeds, with Chainlink or CoinGecko as fallback) that is locked for 5 minutes, from your connected wallet. The fee covers all of LockPad's launch transaction and setup costs; you pay only the network fee for your own payment transaction: on Solana to a LockPad checkout wallet; on EVM chains to a LockPad checkout wallet on that chain. The launch is triggered only after the payment is confirmed on-chain.
1.4 Non-refundable fee; failed launches. The Platform Launch Fee is non-refundable once the launch succeeds, regardless of how your coin trades, whether it is delisted, or whether you change your mind. If the launch fails (as defined in Section 9.4 of the Terms), the fee is refunded automatically to the wallet that paid it. Network fees are not refunded.
1.5 Review before you pay. Everything you enter becomes permanent. You are solely responsible for checking the chain, Coin Content and your fee recipient wallet before paying. We cannot fix typos, change images or redirect fees after launch.
2. No control over liquidity
2.1 You acknowledge and agree that:
(a) the launch liquidity is locked permanently by third-party protocol lock mechanisms at launch;
(b) you will have no ability to withdraw, remove, migrate, unlock or otherwise control the liquidity, and neither will LockPad;
(c) you will have no mint, freeze, on-chain metadata-update, upgrade or other administrative authority over the coin (the wallet that launched the coin can edit its description, logo, banner and links through LockPad, with a public edit history; the name and ticker can never change); and
(d) the coin's price, trading and liquidity depth will be determined entirely by market participants and third-party protocols.
2.2 You will not represent to anyone that you or anyone else controls, manages or supports the coin's liquidity or price.
3. Fee split acknowledgment
3.1 You acknowledge and agree that the trading fees for your coin will be split under the configuration fixed at launch as follows, applied to the trading fees available for distribution under that configuration (that is, after any share retained by the underlying protocol — on Solana, Meteora takes 20% of trading fees, on the bonding curve and after graduation, before the split; on EVM chains LockPad's hook collects the full 1.5% and no protocol share is deducted). In plain numbers: Traders pay 1.5%. On Solana, the pool protocol (Meteora) keeps 20% of that, and on regular coins the remaining 1.2% is split 75% creator / 5% $LOCKY burn / 10% $LOCKPAD burn / 10% platform, so creators earn about 0.9% of every trade. On Base, Ethereum, BNB Chain and Robinhood Chain, LockPad's own pool hook collects the full 1.5% with no protocol cut, so the same split gives regular-coin creators 1.125% of every trade. If you launch a reward coin, Section 3.6 applies instead (25% to you, about 0.3% on Solana and 0.375% on EVM chains). The regular-coin split is:
3.2 You understand that: (a) the 10% platform fee is paid to LockPad: it funds updates and upgrades to the LockPad website, and any remainder is LockPad's income; (b) the $LOCKY and $LOCKPAD tokens do not yet exist, they are LockPad's own tokens (planned to launch under the same no-rug rules, with no team, founder or insider allocation, and with their own trading fees going to LockPad as shown on the Fee Schedule), the buyback portions of your coin's fees are handled as described on the Fee Schedule, and you are not promised anything about those tokens; (c) the split, the fee rate and the recipient wallets can never be changed by you or LockPad, including if your coin is delisted from our website; (d) fee income depends entirely on trading volume, which may be zero; and (e) the Fee Schedule contains worked examples that you have had the opportunity to review.
3.3 Payout Address. Checkout will not proceed until you enter a Payout Address for your coin's chain: a Solana address for a Solana coin, or an EVM address for a BNB Chain, Ethereum, Base or Robinhood Chain coin. It may be pre-filled with your connected wallet if that wallet is on the same chain. You acknowledge and agree that:
(a) you are solely responsible for the accuracy of the Payout Address, including the chain, and for checking it before you pay;
(b) the Payout Address is written into the launch configuration and can never be changed by you or LockPad after launch;
(c) you will use an address you control and that can receive the coin's fee asset on that chain, and not an exchange deposit address, a contract that cannot receive or forward the fees, or an address on another chain;
(d) fees sent to a wrong, mistyped, unsupported or inaccessible address, or to an address you lose access to, are lost permanently, and LockPad has no obligation or ability to recover or redirect them; and
(e) LockPad may screen the Payout Address against sanctions and risk lists before launch and may refuse to launch, with a refund of the Platform Launch Fee, if the address is sanctioned or high-risk [LAWYER TO CONFIRM].
3.4 Automatic payouts. Your share is sent to your Payout Address automatically by LockPad's automation, about every 15 minutes on each chain, once the network fee to send it is no more than about 3% of the amount (smaller amounts carry over to the next run). There is nothing for you to claim, and LockPad's automation pays the network fees for these payouts. Times are targets, not guarantees.
3.5 Taxes. You are solely responsible for reporting and paying any taxes on fees you receive. LockPad may request tax information from you if required by law.
3.6 Reward coins and Community Mode. If you launch a reward coin (a coin paired with any token CA that passes LockPad's automated checks; tokenized-stock rewards switch on after legal review), the split in 3.1 is replaced by the reward-coin split on the Fee Schedule (Section 3.5): 25% to your Payout Address, 50% to the coin's holders paid in the reward tokens you choose, 5% $LOCKY buyback-and-burn, 10% $LOCKPAD buyback-and-burn and 10% LockPad platform fee (on Solana, of the 1.2% left after Meteora's 20%, so about 0.3% of every trade to you and 0.6% to holders; on EVM chains, of the full 1.5%). If you switch on Community Mode at launch, 33% of the holders' 50% (16.5% of the distributed fees) is paid to holders of the reward tokens you chose instead of to your coin's holders, under the eligibility rules, cost cap and schedule on the Fee Schedule. You acknowledge that: (a) Community Mode does not add a fee or change your 25% share; (b) the switch, the 33% share, the reward tokens and their weights are frozen at launch and can never be changed by you or LockPad; (c) you will not describe holder rewards or Community Mode payouts as an investment return, yield, dividend or guaranteed payment, or promise any amount; and (d) payouts depend entirely on trading volume and may be zero. 4. Your representations and warranties
You represent, warrant and covenant to LockPad, as of acceptance and continuously for as long as your coin is listed on our website, that:
4.1 Eligibility. You are at least 18 years old, you meet all eligibility requirements in Section 3 of the Terms, you are not in a Restricted Jurisdiction, you are not a sanctioned person or acting for one, and your funds are not derived from unlawful activity.
4.2 Authority. You have full power and authority to enter into this Agreement. If you act for a company or group, you are authorized to bind it, and "you" includes it.
4.3 Wallet and Payout Address. You own or are authorized to use the paying wallet, and you control the Payout Address, which is not owned or controlled by a sanctioned person.
4.4 Honest launch. You are not launching the coin as part of any fraud, pump-and-dump scheme, rug pull, market manipulation, wash trading, or scheme to deceive buyers, and you will not:
(a) use bots, multiple wallets, sniping tools, or coordinated groups to buy your coin at or near launch, or to evade the anti-sniper or maximum-wallet protections;
(b) receive, or arrange for anyone to receive, any non-public information or advance notice about the launch timing for trading purposes;
(c) make, or allow anyone acting with you to make, any promise, prediction or implication of price gains, returns, profits, "guaranteed" listings, partnerships, utility, or roadmaps that you do not intend and have the ability to deliver;
(d) describe the coin as an investment, security, share, profit right, yield product, or claim on any revenue or asset, or promise any buyback, burn, dividend or distribution of your fee income to holders;
(e) state or imply that LockPad endorses, audits, vouches for, or is affiliated with your coin beyond the factual statement that it was launched using LockPad;
(f) pay or compensate any person to promote the coin without that person clearly disclosing the payment as required by law (including the U.S. FTC Endorsement Guides);
(g) promote the coin to persons in Restricted Jurisdictions or to minors;
(h) put, or allow, any link in the Coin Content or in the website or socials shown for your coin on LockPad that leads to a wallet drainer, a fake airdrop or claim page, or another site built to trick people into signing transactions or giving up keys or funds; or
(i) use wash trading, self-trading, or bot or sybil wallets that you or people acting with you control or fund, to fake your coin's trading volume or number of holders.
Breaching 4.4(h) or 4.4(i) is a ground for delisting under Section 7. Breaching any other representation in this Agreement is not, by itself, a ground for delisting, but you remain fully responsible and liable for it (Section 8).
4.5 Compliance. Your launch and all promotion of the coin by you or on your behalf comply with all applicable laws, including securities, commodities, consumer protection, advertising, anti-money laundering, sanctions and tax laws.
4.6 Accuracy. All information you provide to LockPad is true, accurate and not misleading.
5. Intellectual property warranties and license
5.1 IP warranties. You represent and warrant that: (a) you own, or have all rights, licenses and permissions necessary to use, all Coin Content, including any name, ticker, logo, image, artwork, character, meme, likeness, voice, slogan or brand it contains; (b) the Coin Content, and its use as contemplated by this Agreement (including permanent, immutable publication on a public blockchain), does not and will not infringe, misappropriate or violate any copyright, trademark, trade dress, right of publicity or privacy, or other right of any person; (c) the Coin Content does not impersonate any person, brand, project or government body, and does not use any real person's name or likeness without their written consent; and (d) the Coin Content does not violate the Acceptable Use Policy.
5.2 License to LockPad. You grant LockPad a worldwide, royalty-free, non-exclusive, perpetual, irrevocable, sublicensable (to service providers) license to reproduce, display, store, format and distribute the Coin Content on the website, proof pages, social channels and in the launch transaction, including writing it immutably to the blockchain.
5.3 Permanence. You understand that Coin Content written to the blockchain can never be changed or removed by anyone, including you and LockPad. An infringement, impersonation or similar complaint about your Coin Content is not, by itself, a ground for delisting (Terms Section 12.3); you remain solely responsible and liable for it, including under Section 8.
6. Consent to the proof page
6.1 You consent to LockPad publishing a public proof page for your coin, permanently or for as long as LockPad chooses, showing the Coin Content and on-chain facts about the launch, including the launch transaction, the paying wallet address, the Payout Address, authority and lock status, the fee configuration and fee recipient wallets, fee flows, and links to block explorers.
6.2 You understand that wallet addresses and transactions are public on the blockchain and may be linked to your identity by third parties, and that the proof page may make that easier. If you do not want your paying wallet or Payout Address publicly associated with your coin, do not launch with it.
6.3 The only labels LockPad adds to a proof page for enforcement are the warning label and the delisting notice described in Terms Section 12.5. On a delisted coin's page, LockPad removes your description, links and socials and keeps showing the coin's on-chain facts, and it may hide a single phishing link while a warning label is up.
7. Delisting
7.1 Only two grounds. LockPad will delist your coin from its website and interfaces only for (a) phishing links to wallet drainers or fake airdrops in your Coin Content or the website or socials shown for your coin on LockPad, or (b) fake volume or fake holders created through wash trading or bot or sybil wallets controlled or funded by you or people acting with you, as set out in the Delisting Policy in Section 12 of the Terms. Nothing else is a ground for delisting, including impersonation, copycat names, IP complaints, offensive memes or a falling price.
7.2 Process. Detection uses link scanning and on-chain trade analysis, and a person reviews the evidence before any delisting. Where feasible, LockPad shows a warning label first and gives you time to respond, and you can appeal by emailing Mike@officiallockpad.com with the subject "Delisting Appeal" (Terms Sections 12.4, 12.5 and 12.7).
7.3 On-chain nothing changes. Delisting affects only LockPad's website and interfaces. Your coin, its permanently locked liquidity and every holder's coins continue to exist and operate on-chain, and LockPad cannot touch them or change the fee split.
7.4 Fees on a delisted coin. Delisting does not entitle you to any refund of the Platform Launch Fee. LockPad keeps its 10% platform fee from a delisted coin, and the $LOCKY and $LOCKPAD buyback shares continue as fixed at launch. LockPad pauses Creator fee payouts to the extent it controls them: it stops claiming or forwarding your share through any LockPad automation and disables the "claim earnings" function for that coin on its website, as set out in the Fee Schedule. LockPad cannot stop fees from accruing to your Payout Address on-chain or stop you from claiming them directly through the underlying protocol. If your appeal succeeds, LockPad restores those functions.
8. Indemnity and liability
8.1 You will defend, indemnify and hold harmless the LockPad Parties against all claims, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees) arising out of or relating to your coin, the Coin Content, your promotion of the coin, your breach of this Agreement or the Terms, or your violation of any law or third-party right.
8.2 The disclaimers and limitations of liability in Sections 17 and 18 of the Terms apply to this Agreement.
9. Cooperation
9.1 You will respond promptly and truthfully to reasonable requests from LockPad related to complaints, legal process, or suspected breach of this Agreement. LockPad may share information about you and your coin with law enforcement, regulators or rights holders where LockPad believes in good faith that it is required or appropriate under law or the Privacy Policy.
10. General
10.1 This Agreement, the Terms and the incorporated policies are the entire agreement regarding your launch. Sections 1.2, 1.4, 2, 3, 5, 6, 7, 8 and 10 survive. The general provisions of Section 24 of the Terms apply.
Acceptance. By checking "I have read and agree to the Creator Launch Agreement" and/or signing the acceptance message with your wallet, you agree to this Agreement. LockPad will record the version accepted, timestamp, paying wallet address and signature (if any) as evidence of acceptance.
Suggested wallet acceptance message: "I accept the LockPad Creator Launch Agreement v[version] and Terms of Service v[version]. Launch ID: [id]. Chain: [chain]. Payout Address: [address]. Timestamp: [ISO time]."
| By launching, you confirm: (0) LockPad deploys your coin and is its deployer of record (the "dev"); you submit the idea (name, ticker, art, description) and earn the creator share (on a regular coin 75% of the trading fee left after any protocol share: about 0.9% of every trade on Solana, where Meteora keeps 20% of the 1.5% fee; 1.125% on EVM chains; on a reward coin 25%: about 0.3% on Solana, 0.375% on EVM chains, with 50% to holders) at the Payout Address you enter for this coin's chain, and you are responsible for that address being correct: fees sent to a wrong or unsupported address cannot be recovered; (1) you pay a non-refundable Platform Launch Fee of the launch cost + US$2 (shown as two lines: the network/launch cost and the US$2 LockPad fee), in this chain's native coin at the quote locked at checkout (refunded automatically to your paying wallet, in the same coin and amount, only if the launch fails); (2) you get no first buy and no token allocation; (3) liquidity is locked permanently and you will have no control over it; (4) mint and freeze authority are revoked and the coin's name and ticker are fixed forever; the description, logo, banner and links can be edited later only by the wallet that launched the coin, through LockPad, with a public edit history; (5) on a regular coin, trading fees are split 75% to your Payout Address, 5% to $LOCKY buyback-and-burn, 10% to $LOCKPAD buyback-and-burn, 10% to LockPad as a platform fee (it funds updates and upgrades to the LockPad website; any remainder is LockPad's income), after any protocol share (on Solana, Meteora takes 20% of curve trading fees first), and this split can never be changed (on a reward coin: 25% to your Payout Address, 50% to holders, and the same 5% / 10% / 10%, Section 3.6); (6) a public proof page will be published for your coin; (7) you own or have rights to everything you submit and you are not launching to scam anyone; and (8) LockPad delists a coin from its website only for phishing links (wallet drainers or fake airdrops) or fake volume / fake holders; delisting never touches your coin, its locked liquidity or anyone's tokens on-chain, LockPad keeps its 10% platform fee from a delisted coin, and LockPad pauses its own claim tools for your fee share on a delisted coin. |
